Terms and Conditions of Use
All Out Party, LLC maintains AllOutParty.com (referred to as "Site"), for personal use only. The AllOutParty Pass is for those of a legal drinking age in your country, province, or state of residence (21 years or older in the United States of America for the consumption of alcoholic beverages). You must be 18 to create an AllOutParty.com account. By browsing and using this Site you are agreeing to the user terms and conditions. Please exit this Site if you do not accept the Terms and Conditions of Use.
Use of Materials
The Site contains material that is derived in whole or in part from material supplied by All Out Party, LLC and is protected by U.S. and international copyright and trademark laws. No material (including but not limited to the images, text, audio and/or video individually and collectively the "Materials") may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way or decompiled, reverse engineered or disassembled, except that you may download one copy of the Materials on any single computer for your personal, non-commercial home use only, provided you keep intact all copyright and other proprietary notices. Modification of the Materials or use of the Materials for any other purpose is a violation of All Out Party, LLC's or such other sources' copyright, trademark and other proprietary rights.
Limitation of Liability
Under no circumstances, including, but not limited to, negligence, shall All Out Party, LLC be liable for any direct, indirect, incidental, special or consequential damages that result from the use of, or the inability to use, AllOutParty.com Materials. You acknowledge and agree that All Out Party, LLC is not responsible for any contact or interaction that occurs between you and any other members. You specifically acknowledge and agree that All Out Party, LLC is not liable for any defamatory, offensive or illegal conduct of any user. If you are not satisfied with any AllOutParty.com information, or with any of AllOutParty.com's terms and conditions, your sole and exclusive remedy is to discontinue using AllOutParty.com.
Indemnification
You are entirely responsible for maintaining the confidentiality of your member data, password(s) and your account, as well as all activities that occur under your account. You agree to indemnify, defend and hold harmless, All Out Party, LLC and its respective officers, employees, agents, licensors, representatives and third party providers to the Site from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms of Service by you. All Out Party, LLC reserves the right to assume, at its sole expense, the exclusive control of any matter subject to indemnification by you.
Party Planner, Blog, Chat
Please remember that information posted to the Party Planner, Blog and Chat areas becomes public information. Use caution when posting, if you don't want other users to view your Party Plans, then select individual members when posting Party Plans. If you are worried about harrassement or stalking then be careful not to provide any personally identifying information while using the Party Planner, Blog and Chat rooms. As set forth in All Out Party, LLC's Terms and Conditions of use, users of the Party Planner, Blog and Chat must follow acceptable standards of behavior when posting messages online.
Content Rights
- Material you submit, post, or make available for inclusion on publicly accessible areas of the Site, you grant All Out Party, LLC the following world-wide, royalty free and non-exclusive license(s) to use, distribute, adapt, modify, reproduce, copy and publicly display such Content on the Site. This license exists only for as long as you elect to continue to include such Material on the Site and will terminate at the time you remove or All Out Party, LLC removes such Material from the Site. This license is used to promote and enhance the AllOutParty.com Site.

Material you directly submit, mail to, or email to All Out Party, LLC, the license to use, distribute, adapt, modify, reproduce, copy, publicly perform and publicly display such Content on the Site. This license is a perpetual, irrevocable and fully sublicensable license to use, distribute, adapt, reproduce, modify, copy, publish, translate and publicly display such Material (in whole or part) and to incorporate such Content into other works in any format or medium known or developed in the future.
Individual Content
You agree that AllOutParty.com may review and delete any content, messages, photos, blog, party plans, comments or profiles (collectively known as "Content") that AllOutParty.com deems offensive, illegal, or that might violate the rights, injure or threaten the safety of other users. You are solely responsible for information you post, display, or transmit to other Members.
The following list is the kind of Content that is illegal or prohibited on the Site:
- Patently offensive to the public or online community
- Slander, libel or displaying personal information without an individual's written consent
- Stalking or harrassing another individual
- Spamming, junk mail, chain letters
- Promoting illegal activities or conduct that is abusive
- Promoting unauthorized copying of copyrighted work or pirating software/music
- Material that exploits minors
- Solicitation of passwords or identity theft for unlawful purposes
- Promoting illegal contests, sweepstakes, raffles, pyramid schemes
AllOutParty.com at its sole discretion will investigate any reports of abuse and may give a warning or terminate the account of any violators.
Account Termination
You agree that All Out Party, LLC may, under certain circumstances and without prior notice, can immediately terminate your AllOutParty.com account. Causes for such termination shall include, but is not be limited to:
- breaches or violations of the TOS or other agreements or Individual Content guidelines
- abuse of the Party Point system (be aware that we do track IP addresses and monitor the Party Point system)
- requests by government agencies or law enforcement
- a request by you for account deletion
- discontinuance or Material modification to the Service (or any part thereof)
- unexpected technical, security or network problems
- extended periods of inactivity
No Spam or Bulk E-mail
Your AllOutParty.com membership gives you access to and use of All Out Party, LLC's communication tools, including such features as sending and receiving mail, invites and chat. This does not mean that you may use such communication tools to send unsolicited bulk e-mail or unsolicited communications (e.g., chat, email, etc.). The use of AllOutParty.com's Site for the purpose of sending unsolicited bulk E-mail or messages is strictly prohibited.
International Use
Recognizing the global nature of the Internet, you agree to comply with all local laws and regulations regarding online conduct and acceptable Content. You agree to comply with all applicable laws regarding the transmission of data, video, images exported from the United States or the country in which you reside.
Links to Other Sites
AllOutParty.com maintains links to other sites, advertisers, or sponsors. The use of any information or materials that you may access at these external sites is purely voluntary. These external sites may also refer to specific commercial products, processes, or services by trade name, trademark, service mark, manufacturer or otherwise. In no way, does AllOutParty.com indicate our endorsement, recommendation or preference for these external links.
Other
This agreement shall be governed by and construed in accordance with the laws of the State of Virginia without giving effect to any principles or conflicts of law. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
AllOutParty.com may revise any terms and conditions on a periodic basis, please review carefully.
